Job Description

Our City based client holds a global licence for an advanced recycling process for use in the manufacture of new plastics and other materials and has ambitions for 1,000,000 tonnes of advanced plastic recycling production capacity per year in operation or development by 2025.

Due to growth they are looking for a Company secretary to join their team. This newly created position will ensure the company complies with financial and legal requirements, as well as maintaining high standards of corporate governance and communication between the board of directors and company shareholders.

We are looking for an experienced company secretary with qualifications, who is looking to work 3 days a week or 5 shorter days. the salary is based on a full time salary of £35000-45000. As the company grows there may be the requirement for increased hours but this is a way off at the moment.

As the company secretary, you`ll need to:
Prepare agendas and papers for board meetings, committees and annual general meetings (AGMs) and follow up on action points
Take minutes, draft resolutions, and lodge required forms and annual returns with Companies House
Ensure policies are kept up to date and approved by the committee
Maintain statutory books, including registers of members, directors and secretaries
Deal with correspondence, collate information and write reports, communicate decisions to relevant company stakeholders
Monitor changes in relevant legislation and the regulatory environment and take appropriate action
Liaise with overseas advisers, such as lawyers
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
manage share option schemes and take a role in share issues, mergers and takeovers

Skills and experience required
Formal Accreditation as a Company Secretary
Good communication skills
Ability to work effectively at all levels of the business and as part of a team
Diplomatic approach and the confidence to provide support to high-profile company staff and board members
Knowledge of corporate governance requirements
Integrity and discretion when handling confidential information
Previous experience in a similar role
Attention to detail and a well-organised approach to work
Ability to prioritise work and to work well under pressure
Capability to work with numerical information, plus analytical and problem-solving skills
